If you are a federal agency in the United States (“You”), and You are using ArchiveSocial in your official capacity (“Official Use”), the following terms apply solely to such use and all other terms remain in effect. In the event of conflict between the terms and conditions of the Agreements, or between this Amendment and other terms, rules or policies on the Website or related to its Service, and the terms and conditions of this Amendment, the terms and conditions of this Amendment will control.
1. VENUE & GOVERNING LAW
Section 14 is hereby replaced by the following: You and ArchiveSocial will endeavor to resolve any claims, causes of action or disputes in an
amicable fashion. The Agreements shall be governed by and interpreted and enforced in accordance with the laws of the United States of America without reference to conflict of laws. To the extent permitted by federal law, the laws of the State of North Carolina (excluding North Carolina’s choice of law rules) will apply in the absence of applicable federal law.
2. INDEMNITY & LIMITATION OF LIABILITY
Sections 10 and 11 of our standard Terms of Service apply only to the extent permitted by law. Liability for any breach of the Agreements as modified by this Amendment, or any claim arising from the Agreements as modified by this Amendment, shall be determined under the Federal Tort Claims Act, or other governing federal authority. Federal Statute of Limitations provisions shall apply to any breach or claim.
